Terms of Service

IMPORTANT NOTICE — LEGALLY BINDING VERSION The French version of this document is authoritative and prevails over this English translation. In accordance with Québec's Charter of the French Language (Law 101) and Law 25, the French version is the only legally binding version. In case of any discrepancy between the French version and this translation, the French version shall prevail. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Lumira ("Platform", "we", "us", "our"). By accessing or using the Lumira website or services, you confirm that you have read, understood, and agree to be bound by these Terms. Lumira operates exclusively in Québec, Canada, and these Terms are governed by Québec and Canadian law. 1. Eligibility • You must be 18 years of age or older to use the Platform. • By creating an account, you confirm that the information you provide is accurate and complete. • Accounts created by minors or with false information may be suspended or terminated. 2. Role of Lumira • Lumira is a technology platform that facilitates connections between clients and independent photographers. • Photographers set their own prices, availability, and service details. • Lumira is not an employer, agent, or mandatary of photographers. • Photographers are independent service providers and are responsible for the services they offer. • Lumira does not guarantee artistic quality, availability, or outcomes of photo sessions and does not act as a representative of photographers. 3. Accounts and Use of the Platform • Users must create an account to book or offer services. • You are responsible for maintaining the confidentiality of your login credentials. • You agree not to misuse the Platform, including attempting to bypass payments, manipulate ratings, or contact users outside the Platform to avoid fees. • Lumira reserves the right to suspend or terminate accounts that violate these Terms. Access to photographer-specific features is conditional upon the successful completion of an identity verification process conducted by a third-party provider. Failure to complete or pass this verification may result in refusal, suspension, or limitation of the photographer account. 4. Bookings and Payments • All bookings and payments must be completed exclusively through Lumira. • Payments are processed via third-party payment providers, including Stripe. • Lumira does not store full payment card details. • Fees, commissions, and applicable taxes are displayed at checkout. 5. Refund and Cancellation Policy Refunds are based on the time between cancellation and the scheduled session: • 72 hours or more before the session → 100% refund • 72–48 hours before the session → 90% refund • 48–24 hours before the session → 70% refund • Less than 24 hours before the session → 50% refund • Refunds are issued to the original payment method. • If a session is cancelled due to a photographer's failure to perform, or where required by applicable law, the client may be entitled to a full refund notwithstanding the above schedule. • Nothing in this section limits the application of legal warranties or consumer rights under Québec law. 6. Delivery of Photos • All photo deliveries must occur exclusively through the Lumira Platform. • External delivery methods (email, third-party links, physical media) are not permitted. • This requirement exists to ensure security, traceability, and proper service completion. 7. Content Ownership and Intellectual Property • Under Canada's Copyright Act, photographers are the first owners of the photos they create, unless otherwise agreed in writing. • At the time of booking, photographers must clearly specify the license granted to the client, including whether the photos are for personal use only or include commercial or promotional use. • The applicable license selected at booking governs the client's rights of use, regardless of the location where the photos are taken. • For photos commissioned for private or domestic purposes, photographers may not use the photos publicly without the client's permission, as required by law. • Lumira does not claim ownership of user-generated content. • By uploading content to Lumira, users grant Lumira a limited, non-exclusive license to host, display, and transmit the content solely for the purpose of operating the Platform. • Users may not reproduce, sell, or redistribute content beyond the license granted at booking. 8. Ratings, Reviews, and Trust System • Users may leave honest reviews based on real experiences. • Manipulation of ratings, fake reviews, or retaliation is prohibited. • Lumira reserves the right to remove content that violates these principles. 9. Data and Message Retention • Messages and files are retained unless deleted by the user. • Users are responsible for managing and deleting their own content. • Lumira may retain limited records for legal, security, or compliance purposes. 10. Limitation of Liability • Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for intentional or gross fault, or for bodily or moral injury. • Lumira does not exclude liability for its own acts or omissions where such exclusion is prohibited under Québec's Consumer Protection Act or the Civil Code of Québec. • To the extent permitted by law, Lumira's liability for damages directly attributable to the Platform is limited to the fees paid through the Platform. 12. Indemnification You agree to indemnify and hold harmless Lumira from any claims, losses, or damages arising from: • Your use of the Platform • Your content • Your violation of these Terms 13. Suspension and Termination • Lumira may suspend or terminate access in cases of serious or repeated violations of these Terms. • Except in cases of serious breach, Lumira will provide reasonable notice prior to termination where required by applicable Québec law. • Users may close their accounts at any time. • Outstanding obligations survive account termination. 14. Governing Law and Jurisdiction These Terms are governed by the laws of Québec and Canada, without regard to conflict of law principles. Any dispute, claim, or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively before the competent courts of the judicial district of Montréal, Québec, unless otherwise required by mandatory law. 15. Changes to These Terms • Lumira may update these Terms from time to time. • For material changes that affect fees, user rights, or obligations, Lumira will provide at least 30 days' notice of material changes, including by email, in-app notification, or posting on the website. • Continued use of the Platform after the effective date of the changes constitutes acceptance of the updated Terms. 16. In accordance with the Charter of the French Language, the parties acknowledge that they have been offered a French version of these Terms and expressly agree that this agreement be drawn up in English. Privacy Policy

This Privacy Policy describes how Lumira (the "Platform", "we", "us", "our") collects, uses, retains, and protects users' personal information in accordance with Québec's Act respecting the protection of personal information in the private sector (Law 25) and PIPEDA. Lumira operates exclusively in Québec, Canada. 1. Scope and definitions This Policy applies to any person who accesses or uses the Platform, including clients and photographers. "Personal information" means any information relating to an identifiable individual within the meaning of applicable laws. 2. Personal information collected Depending on how you use the Platform, Lumira may collect the following categories of personal information: • Identification information: first name, last name, email address, account identifiers. • Account information: user type (client or photographer), preferences, settings. • User content: messages exchanged, photos uploaded and delivered through the Platform. • Transactional information: amounts paid, booking history, payment status. • Essential technical information: IP address, device type, and security-related data required for proper operation of the Platform. • Identity verification information (photographers only): copies of government-issued photo identification (e.g., driver's license, passport) and biometric information (e.g., facial image / selfie), processed by third-party service providers for identity verification and fraud prevention purposes. This information is used solely to verify the photographer's identity and is not used for profiling or marketing purposes. Lumira does not collect or store full payment card numbers. 3. Purposes of collection Personal information is collected and used solely for the following purposes: • Operating and providing the Platform. • Creating and managing user accounts. • Facilitating bookings, payments, and photo delivery. • Ensuring security, fraud prevention, and service integrity. • Complying with applicable legal and regulatory obligations. 4. Consent By using the Platform and providing personal information, you consent in a free, informed, and specific manner to its collection, use, and retention in accordance with this Policy. Where required by law, Lumira obtains express consent, including through an affirmative action (e.g., an unchecked checkbox) during account creation. Consent required for essential Platform operations is separate from any consent related to optional or non-essential communications. Consent may be withdrawn at any time, subject to legal or contractual obligations. 5. Retention of personal information • Messages and files are retained until deleted by the user. • Account information is retained for as long as the account remains active. • Lumira may retain limited information after account closure when required for legal, security, or compliance purposes. 6. Withdrawal of consent and data deletion Users may, at any time: • Delete their account and personal information through their profile settings. • Withdraw consent for certain uses of their personal information. Withdrawing consent may limit access to certain Platform features. 7. Disclosure to third parties Lumira may disclose personal information only to the following categories of third parties: • Service providers, including Stripe (payment processing), hosting services, and messaging services. • Public authorities, where required by law or in the context of legal proceedings. Personal information may be stored or processed on servers located outside Québec. In such cases, Lumira ensures appropriate safeguards are in place, including the completion of a Privacy Impact Assessment, in accordance with Law 25. For photographer identity verification purposes, Lumira shares certain personal information with Stripe, which acts both as a service provider and, for certain processing activities, as an independent data controller. 8. Security measures Lumira implements reasonable administrative, technical, and organizational safeguards to protect personal information against unauthorized access, loss, misuse, or disclosure. 9. Rights of individuals In accordance with applicable laws, users have the following rights: • Right to access their personal information. • Right to correct inaccurate or incomplete information. • Right to request deletion of personal information, subject to legal exceptions. • Right to file a complaint with the Québec Commission d'accès à l'information. 10. Confidentiality incidents In the event of a confidentiality incident, including those that do not present a serious risk of harm, Lumira: • Maintains an internal incident registry in accordance with Law 25. • Takes reasonable steps to reduce risks. • Notifies affected individuals and the Québec Commission d'accès à l'information when required. 11. Refund Policy

IMPORTANT NOTICE — LEGALLY BINDING VERSION The French version of this document is authoritative and prevails over this English translation. In accordance with Québec's Charter of the French Language (Law 101) and Law 25, the French version is the only legally binding version. In case of any discrepancy between the French version and this translation, the French version shall prevail. These rules apply to cancellations and refunds of bookings made on Lumira. 1. Client cancellations (according to time before session start) • 72 hours or more before session: full refund (100%). • Between 72 and 48 hours before session: 90% refund of amount paid. • Between 48 and 24 hours before session: 70% refund of amount paid. • Less than 24 hours before session: 50% refund of amount paid. • Once the session time has passed: no refund. 2. Photographer cancellations In case of cancellation by the photographer, the client receives a full refund (100%). The photographer may be subject to measures depending on the timing of cancellation and the Platform's general terms. 3. Timeframes and procedures Refunds are processed within 5 to 7 business days and credited to the original payment method, except where card issuer or regulations require otherwise. 4. Exceptions If a session is cancelled due to a photographer's failure to perform, or where required by applicable law, the client may be entitled to a full refund notwithstanding the above schedule. Nothing in this policy limits the application of legal warranties or consumer rights under Québec law. 5. Disputes In case of disagreement, Lumira may offer mediation to find a fair solution. Photographer Verification Policy

In case of any discrepancy between the French version and this translation, the French version shall prevail. This Photographer Verification Policy explains the measures implemented by Lumira (the "Platform", "we", "us", "our") to verify the identity and eligibility of photographers offering services through the Platform. Lumira operates exclusively in Québec, Canada. 1. Purpose of verification Photographer verification aims to: • confirm the photographer's identity; • strengthen user trust; • ensure the integrity and security of the Platform; • reduce the risk of fraud, identity theft, or abusive behavior. Verification does not create an employment, agency, or representative relationship between Lumira and photographers. 2. Photographer status Photographers registered on Lumira are independent service providers. They are not employees, agents, or representatives of Lumira. Each photographer remains solely responsible for the services they provide and for compliance with applicable laws. 3. Information required for verification To activate or maintain a photographer account, Lumira may request: • a valid government-issued photo ID; • accurate contact and account information; • payment information required by payment service providers; • any other information reasonably necessary for security or compliance purposes. Information provided must be accurate, current, and complete. 4. Verification process • Verification may occur at signup or at a later time. • Lumira may rely on third-party service providers to perform certain verification steps. • Lumira reserves the right to refuse, suspend, or revoke verification at its reasonable discretion. Verification is limited to confirming identity and eligibility and does not constitute a review of professional skills, artistic quality, or service performance. 5. Duration and updates Verification may: • be valid for a limited period; • require periodic renewal; • be requested again if photographer information changes materially. Photographers are responsible for keeping their information up to date. 6. Refusal, suspension, or removal of verification Lumira may refuse, suspend, or remove verification in cases including: • false, misleading, or incomplete information; • violation of the Terms of Service; • fraudulent, abusive, or unlawful behavior; • risks to Platform security or integrity. Loss of verification may result in restricted or terminated access to Platform services. 7. Limits of verification Verification performed by Lumira: • does not guarantee availability, punctuality, or performance; • does not constitute professional certification or endorsement; • does not replace client judgment when selecting a photographer. 8. Personal information protection Information collected as part of verification is handled in accordance with Lumira's Privacy Policy and applicable data protection laws. Last updated: January 2026. Clear Refund Policy

Client Cancellations:

  • 72 h or more before session: Full refund (100%)
  • 48 h to <72 h before session: 90% refund
  • 24 h to <48 h before session: 70% refund

Photographer Cancellations:

  • Clients receive full refund (100%)
  • Photographer may face penalties based on timing

If disputes arise between photographers and clients, Lumira provides mediation services to help reach a fair resolution.

Any legal disputes that cannot be resolved through mediation will be governed by the laws of the Province of Quebec and federal laws of Canada applicable therein.

Policy Updates

We may update our legal policies from time to time. When we do, we'll notify you via email and display a notice on the platform. Continued use of Lumira after updates constitutes acceptance of the new terms.
